Registration of a company or an LLP in Pune is now a portal process. SPICe+, AGILE-PRO, name reservation, DSC and DIN can be closed in days when the documents are clean. That is not the work that gets a promoter into trouble. The work that does is everything the Companies Act, 2013 asks for after the CIN is allotted: registers, minutes, director KYC, MSME returns, AOC-4, MGT-7, and the resolutions that should have existed before the bank account, the related-party deal or the additional director was put through.
What should be on file before the first bank meeting
A new private company in Bhosari or Pimpri should leave incorporation with more than a COI. It needs a current register of members and directors, a board calendar, a related-party list, and a clear note on who is a significant beneficial owner. Banks along the Pune–Nashik Highway will ask for board resolutions that many companies draft only when the relationship manager requests them. Drafting them after the facility is sanctioned is how a later ROC query, or a due-diligence buyer, finds a gap that should never have been there.
Due diligence reads the same papers
Internal audit, management review and financial due diligence all start from the same question: do the filings match the books, and do the books match what the board actually approved. A clean incorporation with sloppy annual compliance is not a clean company. Sandip Bhalerao & Co. handles company and LLP registration together with ongoing Companies Act compliance, audit and assurance, and due diligence — so the file a buyer or a lender opens is the file the practice has been maintaining, not a file assembled for the meeting.
If director KYC, AOC-4 or MGT-7 is already late, treat that as a separate close-out mandate. Do not fold open defaults into a fresh incorporation of a group company and assume the history travels away. It does not.
